Terms of Service

1. Acceptance of Terms

By accessing or using the Verity platform ("Service"), operated by Shadow Solutions, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a hotel, lodging property, or other business entity ("Operator"), you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Verity is a software-as-a-service (SaaS) platform that provides hotel guest verification, digital attestation capture, and compliance report generation services. The Service enables hotel operators to verify guest identity during check-in through one-time-password (OTP) SMS verification, capture legally-binding digital attestations with associated geolocation and IP address data, and generate compliance-ready evidence reports formatted for chargeback dispute resolution across Visa, Mastercard, and American Express card networks. The Service is designed to integrate with payment processing systems such as Elavon and property management systems such as Sabre SynXis.

3. Account Registration

To use the Service, you must register an account and provide accurate, complete, and current information about your hotel or lodging property, including but not limited to the property name, address, and authorized operator contact details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each property is limited to one account unless you are subscribed to an enterprise plan that permits multiple property registrations under a single organizational account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service solely for legitimate hotel check-in verification and chargeback dispute evidence purposes. You shall not:

  • Use the SMS verification functionality for any purpose other than guest check-in verification, including but not limited to marketing, spam, or unsolicited communications.
  • Store, export, or transfer guest data collected through the Service to any external system or platform except as expressly permitted by the Service's data export features.
  • Use attestation data, reports, or any information obtained through the Service for purposes other than chargeback dispute evidence and internal compliance records.
  • Attempt to reverse-engineer, decompile, or otherwise access the underlying source code, algorithms, or infrastructure of the Service.
  • Share account credentials with unauthorized personnel or allow third parties to access the Service through your account.

5. Data Collection and Processing

In the course of providing the Service, Verity collects and processes certain data on behalf of the hotel operator, including but not limited to: guest phone numbers, IP addresses, geolocation data (including geo-fenced location information), device information (browser type, operating system), attestation timestamps, and digital consent records.

For purposes of applicable data protection laws, the hotel operator acts as the data controller, determining the purposes and means of processing guest personal data. Verity acts as a data processor, processing guest data solely on behalf of and under the instructions of the hotel operator. Verity will process personal data only as necessary to provide the Service and in accordance with our Privacy Policy. Hotel operators are responsible for providing appropriate notice to guests regarding data collection and obtaining any required consents under applicable law.

6. Compliance Obligations

You are responsible for ensuring that your use of the Service complies with all applicable federal, state, and local laws and regulations. This includes, without limitation, compliance with the Telephone Consumer Protection Act (TCPA) and its implementing regulations regarding the sending of SMS messages to guest mobile phones. You represent and warrant that you have obtained or will obtain all necessary consents from guests before initiating SMS verification through the Service. You are further responsible for compliance with all applicable state and federal laws governing the collection, storage, and use of guest personal data, including privacy and data protection statutes applicable in the jurisdictions where your properties operate.

7. Report Generation and Evidence

The Service generates compliance reports based on data captured during the guest verification and attestation process. These reports are formatted to meet the documentation requirements of major card networks, including Visa, Mastercard, and American Express. However, Verity makes no guarantee, representation, or warranty regarding the outcome of any chargeback dispute in which such reports are submitted as evidence. The final determination of any chargeback dispute is made solely by the issuing bank, card network, or designated arbitrator, and is beyond the control of Verity. Reports are provided "as-is" based on the data captured at the time of guest verification.

8. Payment Terms

Access to the Service requires a paid subscription. Subscription fees are billed on a monthly or annual basis as selected at the time of enrollment. All fees are quoted in United States dollars and are due in advance of each billing cycle. Failure to pay fees when due may result in suspension or termination of your access to the Service. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period, and no prorated refunds will be issued for unused portions of a billing cycle. We reserve the right to modify pricing with thirty (30) days' prior written notice.

9. Data Retention

Attestation data, verification records, and generated reports are retained for a minimum of twenty-four (24) months from the date of creation to support chargeback dispute timelines established by major card networks. After the retention period, data may be archived or deleted in accordance with our data retention policy. Upon termination of your account, you may request export of your data for a period of thirty (30) days following termination, after which we reserve the right to delete all associated data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERITY AND SHADOW SOLUTIONS, LLC, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Without limiting the foregoing, Verity shall not be liable for: (a) the outcome of any chargeback dispute, regardless of whether Verity-generated reports were submitted as evidence; (b) financial losses resulting from fraudulent transactions or guest misconduct; (c) any failure of third-party integrations, including but not limited to payment processors or property management systems; or (d) interruptions in Service availability due to circumstances beyond our reasonable control.

Our total aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to Verity in the twelve (12) months preceding the event giving rise to the claim.

11. Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, trademarks, and documentation, is the exclusive property of Shadow Solutions, LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You retain all rights to guest data and property information that you input into the Service. By using the Service, you grant Verity a limited, non-exclusive license to process such data solely for the purpose of providing and improving the Service.

12. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within thirty (30) days of termination. Sections of these Terms that by their nature should survive termination, including limitation of liability, intellectual property, and governing law, shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account or through a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.
